TERMS / YNL-AGR-01
Effective:
Terms and conditions.
These terms govern the Younger Next Life website, digital products, melody leases, memberships, downloads, forms, and related services. Product-specific license terms still control the permitted use of audio files.
Digital-goods rule: once a purchased file or membership content has been delivered or made accessible, the sale is final and non-refundable, except where applicable law requires otherwise or where YNL confirms non-delivery, a duplicate charge, or a corrupt or unusable file.
1. Agreement and operator
These Terms and Conditions are a contract between you and Younger Next Life, also referred to as YNL, for use of this site and any YNL product or service that links to these terms. By accessing the site, placing an order, downloading a file, joining a membership, or submitting a form, you agree to these terms and any product-specific terms shown before purchase or included with delivery.
If you do not agree, do not use the site or purchase a product. If you accept these terms for a business, label, artist, producer collective, or another organization, you represent that you have authority to bind it. Questions can be sent to youngernextlife@gmail.com.
The Privacy Policy and Cookie and Storage Notice describe data practices and form part of the site rules, but they do not replace product-license terms.
2. Eligibility and authority
You must be able to form a binding contract where you live. If you are below the legal age of majority, a parent or legal guardian must review and accept these terms and supervise your use and purchase. The site is not directed to children under 13.
You must provide accurate checkout and contact information, use a payment method you are authorized to use, and comply with trade sanctions, export controls, and other laws that apply to you. YNL may reject or cancel an order before delivery if payment, product availability, pricing, fraud, or legal restrictions make fulfillment impracticable. If YNL cancels a paid order before delivery, the affected payment will be voided or refunded through the processor.
3. Store, descriptions, prices, and checkout
Account-free storefront
YNL does not require a storefront account, username, or password. A Shopify cart and signed browser identifiers may preserve cart state, privacy choices, digital ownership, and permitted merchandising history. You are responsible for access to the email address used at checkout and for securing delivery links.
Product information
YNL tries to describe file contents, formats, compatibility, previews, license type, membership benefits, and prices accurately. Audio previews are excerpts and may be normalized or compressed for the web. Display colors, cover art, and playback loudness vary by device and are not product specifications.
A typographical error, stale price, broken availability flag, or technical mistake does not require YNL to fulfill an order at an obviously incorrect term. If a material error affects an order before delivery, YNL may ask you to confirm the corrected term or cancel and return the affected payment.
Payment, currency, and tax
Shopify processes kit and lease checkout. Whop may process membership checkout and recurring billing. The checkout page identifies the currency, applicable taxes, processor terms, and final total before authorization. Banks and payment providers may add conversion or processing fees that YNL does not control.
A cart, recommendation, discount display, or abandoned-checkout message is not an acceptance of an order. The order is accepted when the payment provider confirms the transaction and YNL or its delivery provider makes the digital product or access available.
Discounts and promotions
Discount codes and promotions may be limited by product, customer eligibility, minimum spend, time, quantity, or one use per person. Unless a promotion says otherwise, offers cannot be combined, exchanged for cash, resold, or applied to a completed order. YNL may disable a code used through automation, duplication, misrepresentation, or another abuse. Statutory rights are not affected.
4. Digital delivery and access
Every YNL store product is digital. Delivery occurs when a download link, digital file, member-only location, or other stated access method is sent to the checkout email or made available through the named provider. No physical shipment is included unless a product page expressly says otherwise.
You must enter a working email address, check spam and filtered folders, keep enough device storage, and use software capable of opening the stated file formats. Download promptly and keep a lawful backup. Provider links may expire, and continued hosting of a particular historical download URL is not guaranteed.
If delivery does not arrive within the period stated at checkout, or within a reasonable period when none is stated, contact YNL with the order reference and checkout email. Do not publish a private delivery URL, discount code, or reconnect token. YNL may replace a compromised link and invalidate the old one.
Risk of loss caused by an incorrect email address, a full mailbox, deletion after successful delivery, or sharing access with another person passes to you once the product has been properly delivered. This does not remove remedies that cannot be waived under applicable law.
5. Final sales, refunds, and billing corrections
Because digital files and membership content cannot be returned after access, all sales are final and non-refundable once delivery or access has occurred. YNL does not offer a refund because a buyer changed their mind, no longer needs the sounds, lacks compatible software that was disclosed, or expected a placement, audience result, or creative outcome that was not promised.
YNL will review a timely request involving:
- a paid product that was not delivered;
- the same transaction charged more than once;
- a delivered archive that is corrupt, incomplete, or unusable and cannot be replaced;
- an unauthorized transaction supported by reasonable verification; or
- a refund or cancellation right that applicable law does not permit these terms to exclude.
Contact youngernextlife@gmail.com promptly with the checkout email, order reference, product name, and a clear description of the problem. Give YNL a reasonable opportunity to resend or repair a file before seeking a payment reversal. Nothing in this paragraph prevents you from using a card-network or legal remedy that cannot be waived.
A correction is normally returned to the original payment method. Bank and processor posting times are outside YNL’s control. Shipping refunds do not apply because the products are digital.
6. Digital-product and audio licenses
License, not ownership of source files
A purchase transfers a limited license to use the delivered material. It does not transfer copyright, trademark, producer identity, publishing ownership, or ownership of the source sound recording except where a written product-specific agreement expressly says so. YNL and its licensors keep all rights not granted.
Sample packs and standard kits
Sample-pack sounds are licensed non-exclusively under the product-specific terms delivered with the files. Those terms govern incorporation into your own beat, song, score, performance, broadcast, or other production, including any publishing, royalty, clearance, and credit obligations. You may commercially release the resulting production only when your use complies with the included license.
You may not, without YNL’s written permission:
- resell, sublicense, share, gift, or distribute the raw files or a substantially similar isolated copy;
- upload the raw files to a sample library, stock-audio service, training dataset, file-sharing service, or competing pack;
- claim authorship or exclusive ownership of an unmodified source file;
- register an unmodified source file in a content-identification system in a way that blocks other licensed users;
- circumvent download controls or acquire the product through an unauthorized copy; or
- use the material in an unlawful work or in a way that falsely implies YNL’s endorsement.
Melody leases
Products identified as melody leases carry separate product-specific terms. Publishing, royalties, mechanicals, advance fees, and producer or co-producer credit are split or allocated under the full lease delivered with the file. The product page and full lease control over any general description here. Do not release, register, license, or monetize a leased melody outside those terms.
Free downloads
A zero-dollar price does not place a work in the public domain. Free Vault kits remain subject to their included license and the same restrictions on raw-file redistribution, false ownership claims, and unauthorized resale.
Conflicts and collaborators
The license included with a product, a signed lease, or a separately signed agreement controls if it conflicts with this section. You are responsible for telling collaborators, labels, distributors, and content-identification vendors about relevant license limits and for obtaining any additional clearance required by your planned use.
7. Memberships, renewals, and benefits
Memberships may be sold and billed through Whop. The checkout identifies the billing interval and price before you authorize payment. Unless the checkout says otherwise, a recurring membership renews automatically for the displayed interval until canceled. Whop’s checkout and buyer terms also apply to its services.
Membership benefits may include recurring digital drops, discounts, Discord access, calls, mentorship, feedback, or placement-network access. Benefits are personal, non-transferable, subject to reasonable scheduling and capacity, and available only while the membership is active unless the plan expressly grants continuing access. YNL may replace a benefit with a reasonably comparable one when a provider, producer, platform, or schedule becomes unavailable.
Cancel through the provider controls when available or contact YNL from the email used at checkout. Cancellation stops future renewal after it is processed; it does not retroactively refund a completed period or digital content already delivered, except where applicable law requires otherwise. Access may continue through the paid period and then end.
Calls and placement opportunities depend on preparation, availability, artistic fit, third-party decisions, and professional conduct. No membership guarantees a song placement, credit, revenue, audience growth, label response, or career result. A placement or separate production relationship requires its own written terms.
Abuse, harassment, credential sharing, infringement, chargeback fraud, or serious disruption of the member community may result in removal. When law permits, YNL may terminate access for a material breach without refund for content already delivered.
8. Email, free-kit delivery, and promotions
When you submit an email form, you ask YNL and Kit to create or update a subscriber record and provide the delivery, discount, membership information, cart help, or other response described beside that form. Some forms may also offer an email series. Automated sends occur only when the relevant YNL rollout controls and Kit automation are active.
Marketing messages must include an unsubscribe method. You can unsubscribe at any time through that link or by contacting YNL. Unsubscribing from marketing does not prevent a necessary order, security, support, or delivery message related to a transaction you requested.
A first-order discount may require eligibility verification and may expire after the stated period. Signed Kit links can reconnect an opaque YNL profile on another browser. They do not create an account or expose order details. Keep those links private.
9. Contact, applications, links, and other submissions
You keep ownership of material you submit through a contact form, intake form, support email, work link, or similar channel. You grant YNL a non-exclusive, worldwide, limited license without a separate fee to access, copy, store, play, and internally share the submission only as reasonably needed to review it, respond, provide the requested service, prevent abuse, and keep ordinary business records.
You represent that you have the rights needed to submit the material and that doing so does not infringe another person’s rights, disclose protected personal data without authority, or violate a duty of confidentiality. Do not send passwords, payment-card numbers, government identifiers, medical records, or material you are not authorized to share.
A submission, audition link, demo, intake response, or Discord message does not by itself create a confidential, fiduciary, agency, partnership, employment, publishing, management, or producer-client relationship. YNL may already be developing similar ideas. A binding creative or business relationship requires a separate written agreement.
Feedback about the site or service may be used without restriction or payment so long as YNL does not publicly identify you without permission. This feedback clause does not transfer ownership of your music or unreleased creative work.
10. Acceptable site use
YNL grants you a limited, revocable, non-exclusive right to access the site for lawful personal or internal business use. You may not:
- interfere with site security, rate limits, signatures, access controls, checkout, or delivery systems;
- use bots or automation to claim limited offers, discounts, downloads, or inventory unfairly;
- scrape, copy, or index non-public files, personal information, private APIs, or unreleased content;
- reverse engineer the site except to the limited extent a law expressly permits;
- introduce malware, destructive code, credential attacks, or abusive traffic;
- impersonate another person, misstate eligibility, or submit another person’s payment or contact data without authority;
- use the site or products to infringe rights, defraud, harass, threaten, or violate law; or
- remove copyright, trademark, license, credit, or provenance notices.
Public search engines may index public pages through ordinary documented methods. Security research must avoid personal data, service disruption, transactions, and unauthorized access, and should be reported privately to YNL.
11. Site and intellectual-property rights
The site design, YNL name and marks, copy, graphics, cover art, audio previews, video, catalogs, code, downloads, and producer materials are owned by or licensed to YNL and are protected by copyright, trademark, contract, and other laws. The site may also display names, marks, credits, or media owned by artists, platforms, producers, and other third parties. Their appearance does not transfer rights to you.
GRAMMY and related marks belong to their respective owner. References to nominations, credits, artists, songs, labels, or platforms describe professional credits or context and do not imply sponsorship of every YNL product unless expressly stated.
To report claimed copyright infringement, email youngernextlife@gmail.com with identification of the protected work, the material and exact URL at issue, your contact details, a good-faith statement, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. YNL may request missing information and may send a valid notice to the uploader or relevant provider.
12. Third-party services and links
Shopify, Kit, PostHog, Netlify, Sanity, IPinfo, Whop, Discord, Zoom, YouTube, TikTok, social networks, payment processors, and other linked services are operated by third parties. Their availability, security, content, accessibility, fees, terms, and privacy practices can change outside YNL’s control.
A link or embed does not mean YNL endorses every statement, product, advertisement, or practice on the destination. Review the provider’s terms before using it. If a third-party path blocks access to product information or delivery, contact YNL and YNL will try to provide a reasonable alternative within its control.
13. Service disclaimers
To the maximum extent applicable law permits, the site, previews, recommendations, free downloads, community features, and services are provided “as is” and “as available.” YNL does not warrant uninterrupted access, a particular DAW result, universal file compatibility, error-free metadata, continued availability of an external platform, or that every creative use will be commercially successful.
Product recommendations are merchandising outputs, not professional, financial, legal, or career advice. Audio, production, mentorship, and placement discussions involve subjective judgment. YNL does not guarantee placements, streams, sales, income, chart positions, awards, credits, label responses, or audience growth.
Some jurisdictions do not allow exclusion of implied warranties. In those places, the exclusions apply only to the extent permitted, and mandatory consumer warranties remain in force.
14. Limits of liability and responsibility
To the maximum extent permitted by law, YNL and its producers, contributors, contractors, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profit, revenue, opportunity, data, goodwill, or replacement services arising from the site, a product, a recommendation, an external platform, or these terms.
To the maximum extent permitted by law, YNL’s total liability for a claim concerning a paid product or membership will not exceed the amount you paid YNL for the specific product or affected membership period giving rise to the claim. For a free service, the cap is the greater of the amount paid for the affected service or the minimum remedy that applicable law requires.
These limits do not apply to liability that cannot lawfully be limited, including where applicable for fraud, willful misconduct, gross negligence, personal injury, or mandatory consumer remedies. You are responsible for lawful use of the audio, backups of delivered files, collaborator clearances, distribution settings, and compliance with the product-specific license.
To the extent permitted by law, you will reimburse YNL for third-party claims, losses, and reasonable costs caused by your unlawful redistribution of source files, infringement, fraudulent transaction, material breach of a product license, or misuse of the site. This does not require you to cover a claim caused by YNL’s own breach or conduct for which applicable law assigns responsibility to YNL.
15. Support, disputes, and applicable law
Before filing a formal claim, send a written description to youngernextlife@gmail.com with the order or membership reference, the requested resolution, and supporting facts. YNL will try to respond within a reasonable time. This informal step does not extend a legal deadline or prevent urgent relief.
These terms do not impose mandatory arbitration, a class-action waiver, or a state-specific court selection. The laws and courts that apply to the transaction and parties will govern under ordinary conflict-of-law and jurisdiction rules. Mandatory consumer protections of your home jurisdiction remain available where they cannot be waived.
16. Changes, suspension, and general contract terms
Changes to the site and terms
YNL may update the site, catalog, benefits, provider integrations, or these terms. The effective date identifies the current terms. A material change applies prospectively after reasonable notice where notice is required. Terms in force at the time of purchase continue to govern the delivered product license unless you affirmatively agree to a replacement.
Suspension and termination
YNL may suspend access needed to protect security, investigate fraud, comply with law, stop infringement, or address a material breach. YNL will use a proportionate remedy where reasonably possible. Termination does not erase payment obligations, ownership records, licenses already validly granted, or sections that by their nature should survive, including intellectual property, disclaimers, liability, and disputes.
Entire agreement and order of precedence
These terms, the product page, checkout terms, included product license, and any separately signed agreement form the agreement for the relevant product. A separately signed agreement controls first, then a product-specific license, then the checkout and product page, then these general terms. A provider’s terms separately govern the provider’s own service.
Severability, waiver, and assignment
If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent or removed without invalidating the rest. A delay in enforcing a term is not a waiver. You may not assign a personal product license or membership without written permission. YNL may assign these terms in connection with a reorganization, financing, or transfer of the relevant business, subject to applicable law.
Electronic communications
You agree that checkout confirmations, delivery notices, policies, and other records may be provided electronically. Keep a copy of the terms and product license that apply to your purchase. Headings are for navigation and do not narrow the text.
